One Person Company is the simplest business form which requires only one person as a member. One-person company is governed by Companies Act 2013 and must be incorporated as a private limited company. It should have a minimum of one director and a maximum of 15. Also, we can say that One Person Company is a hybrid of Sole Proprietor and Company form of business and has been provided with concessional/relaxed requirements under the Act. In case the Article of Association doesn’t have the name of a Director, then the member of one-person company shall be deemed as a director too. It is mandatory to include a nominee name in the memorandum of association who will undertake the activities after expiry/death/incapacity of the member. MOA should also contain the consent of Nominee which is further needed to be filed with Registrar along with MOA and AOA.
